As head of the firm’s Tax group, Brett Dixon’s practice focuses on the tax aspects of structuring business and investment transactions, including planning for taxable and tax-free acquisitions and dispositions of business operations. As a part of his practice, Mr. Dixon has significant experience in designing acquisition structures for private equity and other investment funds.
In addition, Mr. Dixon provides advice with respect to the tax issues arising in connection with debt and equity financings and refinancings, including the restructuring of financially-challenged businesses. Mr. Dixon is instrumental to the firm’s fund formation practice, providing tax-efficient structures for private-equity, hedge, hybrid and other investment vehicles (both domestic and off-shore). He also advises the principals of fund sponsors on their internal arrangements and on their relationship with investors. Mr. Dixon also oversees the practice group’s Federal and state tax controversy work.
